Argentina
  • Represented The Sabre Group, Inc., a subsidary of AMR Corporation, in its information technology and outsourcing activity in Argentina.
  • Represented Electronic Data System corporation (EDS), in the transfer and restructuring of its management consulting division to its wholly-owned subsidiary, A.T. Kearney, in Argentina.
  • Representing a B2B Company in their start-up and expansion plan in Argentina and throughout Latin America and USA.
  • Representation of MetaSolve Software Inc. on issues pertaining to software license and maintenance agreement in Argentina.

 

Bolivia
  • Advised Corporación Andina de Fomento (CAF) for a financing loan of US$ 15 Millions to one of the biggest Telecommunication Companies in Bolivia , Cooperativa de Telecomunicaciones Santa Cruz Ltda. (COTAS).


Brazil
  • Advised Brazilian investors (pension funds, BBDTVM and Opportunity), in setting up Americel S.A. and TELET S.A., winners for the operations of areas 6 and 7 of cellular telephony in B Band.
  • Advised International Telecommunications Union (ITU) in the preparation of the draft text of the chapter dealing with "Re-Organization and Privatization of the Telebrás System" in the draft text of the Telecommunications Law.
  • Advised ITU in the modeling of the Telebrás System for purposes of privatization.
  • Advised Telebrás on the spin-offs of the 26 fixed phone companies to create 26 new wireless service companies. 
  • Represented Telpart Participaçoes S.A., winner of the bid in the Telebrás System privatization for the acquisition of Tele Centro Sul Participaçoes S.A., the holding company of nine fixed telephone companies, respectively, in the central, western and southern regions of Brazil. 
  • Represented Telpart Participacoes S.A., winner of the bid in the Telebrás System privatization for the acquisition of the wireless companies Telemig Celular Participacoes S.A. and Tele Norte Celular Participaçoes S.A. that control seven cellular telephone companies in A Band.
  • Represented Americel S.A. and Telet S.A., concessionaires of B Band cellular services in the central, western region of Brazil and in the state of Rio Grande do Sul, respectively, in the preparation of the agreement for the supply and installation of cellular network by Nortel Telecom and Ericsson.
  • Represented Consortium Telemar, winner of the bid in the Telebrás System privatization for the acquisition of Tele Norte Leste Participaçoes S.A., holding company of sixteen fixed telephone companies, respectively, in the northern and northeastern regions of Brazil. 

Colombia
  • Posse, Herrera & Ruiz advises in the telecommunications, software and technology sectors. Active clients in 2007 for whom corporate, tax, labor and public bidding work has been performed include: Applus (Spain), CyS (Spain), Diveo (U.S.A.), Getronics (Netherlands), Indra (Spain, including its Azertia & Soluziona subsidiaries) (Spain), ProCibernetica (Colombia), SAS Institute (U.S.A.), Sun Microsystems (U.S.A.) and Verizon (U.S.A.). Lawyers: Partners Jaime Herrera, Mariana Posse, Juan Guillermo Ruiz and associates Claudia Caballero, Carolina Camacho and Carolina Peláez.
  • Also, Francisco Urrutia was on the board of directors of Flycom Comunicaciones, until it merged with Internexa (both are ISA subsidiares; Colombia).

Costa Rica
  • Represented Camino Resources Limited, a California company, in connection with financial leasing transactions involving telecommunications equipment and web commerce hardware and servers.

Mexico
  • Represented GTE International Telecommunications Incorporated in the negotiation and formation of a joint venture with Mexican national banking conglomerate Bancomer, S.A. and industrial conglomerate Valores Industriales, S.A. to establish a telecommunications business in Mexico.
  • Represented Optel Telecommunicaciones, S.A. de C.V., a subsidiary of Telefónica Autrey, S.A. de C.V., in connection with the renegotiation of its agreements with Global One Communications for the distribution of value-added services in Mexico. 
  • Represented Telscape International in transactions to acquire all of the stock of two Mexican telecommunications equipment manufacturers/distributors. 
  • Assisted subsidiaries of Murdoch Communications in negotiations with COFETEL (the Mexican Federal Telecommunications Commission) on providing of collection services for long distance calls made to the U.S. and Canada by clients of hotels in Mexico; obtaining toll-free long distance numbers from two of the primary long distance carriers in Mexico; and negotiated a joint venture with AcNet, a provider of Internet services holding a data transfer permit issued by COFETEL. 
  • Represented the SABRE division of American Airlines in the establishment of a computerized reservation system in conjunction with AeroMexico and Mexicana.
  • Represented Air Touch Paging in litigation involving frequency interference along the U.S./Mexico border area, and in obtaining a concession or license to operate one of their nationwide frequencies along the U.S./Mexico border area, pursuant to the bilateral frequency protocol between the U.S. and Mexico. 

Peru
  • Represented GTE International Telecommunications Incorporated in the due diligence inquiry, regulatory review and international public bid to acquire 35% of the stock of the Peruvian state-owned local and long distance telephone companies.

Venezuela
  • Represented a client in connection with an auction to sell equipment and render certain telecommunication services for the administration of the radio spectrum to the Comisión Nacional de Telecomunicaciones (CONATEL), the Venezuelan telecommunications regulatory agency. 
  • Assisted in preparing the legal, technical and economic information required by CONATEL to request concessions for: (i) private telecommunications networks, (ii) paging services, (iii) value-added services, (iv) direct satellite services, (v) fixed Non-Geostationary Satellite services, and (vi) personal communicating services (PCS).
  • Represented Telecom Italia Mobile in the acquisition of a controlling interest on Corporación Digitel CA.
  • Advised Global Crossing on its request of administrative license before the National Telecommunication Commission (Conatel) for rendering telecommunication services.
  • Advised Teledesic on its request of administrative license before Conatel for rendering low-orbit satellite services.
  • Advised Sky Latin America on its request of administrative license before Conatel for rendering direct satellite services.
  • Represented Vitacom Corporation in connection with the awarding of a concession for a private telephone network.
  • Represented ABC Incorporated's affiliate, BVI Television, Inc., in connection with its acquisition of a minority interest in HBO Olé Producciones SA.
  • Represented TCI International Inc in connection with an auction to sell equipment and render telecommunication services to Conatel.
  • Represented Telecomunicaciones Page Mart de Venezuela, a Venezuelan subsidiary of Page Mart Incorporated, in connection with the awarding of a concession for personal paging services and general corporate matters.
  • Represented Radio Caracas Televisión CA in connection with general corporate, tax, litigation and telecommunication matters.
  • Represented AT&T Corporation in connection with the establishing of its Venezuelan subsidiary AT&T Andinos de Venezuela.
  • Represented Corporación Andina de Fomento in connection with a US$34,300,000 project financing of the Rural Concessionaire Infonet, Redes de Información CA.
