Petroleum Inc. in the acquisition of Petrolera Argentina
San Jorge S.A. (the second largest oil producer of Argentina),
the largest acquisition of a non-government owned company
in Argentina.
- Represented Pioneer Natural
Resources Company in the $1.2 billion acquisition of Chauvco
Resources, Ltd.
- Represented Southeastern
Drilling Co. in the negotiation of the first oil and gas
contract in Argentina, during President Frondizi's term.
This pioneer contract covered one thousand wells for drilling
in the Patagonia region.
- Represented Perez Companc
S.A. in the privatization (construction, operation and concession)
of the Mexican Merida III pipeline project, as a member
of the consortium formed with Nova Corporation and The Williams
Companies, with an anticipated investment of over $200 million.
- Advised a leading U.S. energy
marketer on cross-ownership restrictions in Argentina and
Brazil for purchase/sale/trading of natural gas, power,
energy commodities and financial derivatives.*
- Represented U.S. seismic
acquisition company in the formation of a local branch to
provide seismic services in Argentina.*
- Representation of Chevron
San Jorge S.A. in the acquisition of Alberta Energy's assets
in Argentina.
- Representation of Chevron
San Jorge S.A. in the bidding rounds for oil and gas areas
called by the province of Neuquen, Argentina.

System corporation (EDS), in the transfer and restructuring

subsidiary, A.T. Kearney, in Argentina.
- Representing a B2B Company
in their start-up and expansion plan in Argentina and throughout

- Representation of MetaSolve
Software Inc. on issues pertaining to software license and
maintenance agreement in Argentina.

International Water Limited, a subsidiary of Bechtel Enterprises

of the potable water distribution system of Cordoba.
- Represented the group lead
by Amoco Argentina Oil Company in the privatization of YPF's
Terminales Maritimas Patagonicas S.A.
- Served as lead counsel for
Petroquimica Cuyo S.A.I.C. in their Polypropylene Plant
Project, which involved an investment of $160 million.
- Represented Profertil S.A.,
a company owned by YPF S.A. and Agrium, Inc. (Canada), for
their project finance project of building and operating
the largest fertilizer (urea) plant in the world.
- Represented Hidrocarburos
Fueguinos, a company wholly owned by the Province of Tierra
del Fuego, in the re-negotiation of an Engineering, Procurement,
Construction and Management Agreement of a refinery in Rio
Grande, Tierra del Fuego.
- Representation of Noun N.V.,
a utility from the Netherlands, in their activity in Argentina,
in which they hold participation over two provincial water
and sewage concessions.
- Representation of BHP Limited
on issues pertaining to their mining properties in Argentina.

- Represented Banc One International
Corporation in their lending activity in Argentina, and
obtaining pledges over different types of assets. Drafting
of legal opinions.
- Represented The Archon
Group (a subsidiary of Goldman Sachs) in their proposed
activities in Argentina, including acquiring loan portfolios,
and obtaining security interests over different assets (i.e.,
receivables, equipment, real estate, shares, rights).
